Do You Need to Register for Corporate Tax in UAE?
The answer is yes, and it applies regardless of how much tax your business actually owes. Registration and tax liability are two separate obligations under UAE law. Even if your taxable income is below the threshold, registration with the FTA is still mandatory.

Mainland Companies
All UAE mainland companies incorporated under the Department of Economic Development or any other licensing authority must register. This applies to LLCs, sole proprietorships, civil companies, and branches of foreign entities operating in the UAE.

Free Zone Companies
Free zone companies must also register, including those qualifying for the 0% corporate tax rate. The distinction between a Qualifying Free Zone Person and a standard taxable entity affects your tax rate, not your registration obligation. Every free zone entity needs a CTRN on file with the FTA.

Freelancers and Natural Persons
Individuals conducting business under a UAE freelance permit or professional license with annual turnover exceeding AED 1 million in a calendar year are subject to corporate tax registration. The deadline for natural persons is 31 March of the year following the calendar year in which the AED 1 million threshold was crossed. The natural persons category is the most commonly overlooked, particularly for freelancers and sole proprietors who assume corporate tax applies only to companies.
Corporate Tax Registration Deadlines
For companies incorporated in the UAE on or after 1 March 2024, registration must be completed within three months of the date of incorporation. This is a fixed rule and applies to all new entities regardless of structure or jurisdiction.
For businesses incorporated before 1 March 2024, the FTA set staggered deadlines throughout 2024 based on each company’s trade license issuance month. Those deadlines have now passed. If your business has not yet registered, you are in late registration status, and the AED 10,000 penalty has been triggered under Cabinet Decision No. 75 of 2023.
However, a penalty waiver is available.
The FTA launched a Penalty Waiver Initiative effective 14 April 2025, applicable to penalties incurred from 1 June 2023. Under this initiative, the AED 10,000 late registration penalty is automatically cancelled or refunded, provided your business files its first corporate tax return within seven months from the end of its first tax period.
For businesses whose first tax period ran from 1 January to 31 December 2024, that seven-month window closed on 31 July 2025. If your tax period ends on a different date, your window is calculated from seven months after that end date. If you have already paid the penalty, the amount is credited back to your EmaraTax account.

Free Zone Companies QFZP Status and Small Business Relief
Two provisions directly affect how much corporate tax a UAE business owes. Neither removes the registration requirement, but both can significantly reduce your tax liability if you qualify.
Qualifying Free Zone Person (QFZP) status allows eligible free zone companies to apply a 0% corporate tax rate on qualifying income. To maintain QFZP status, the business must meet substance requirements, earn income from qualifying activities, and avoid generating significant revenue from UAE mainland sources. Losing QFZP status, even through a single non-qualifying transaction, means the standard 9% rate applies to all taxable income for that period.
Small Business Relief is available to businesses with taxable revenue below AED 3 million per tax period. Eligible businesses can elect to be treated as having zero taxable income for that period. This relief is available for tax periods ending on or before 31 December 2026 and is particularly relevant for startups and early-stage businesses in their first compliance cycle.
