Is Bookkeeping Mandatory for UAE Businesses?

Yes, though the legal basis differs depending on your business structure.

Under Federal Decree-Law No. 32 of 2021 on Commercial Companies, Article 26 requires every UAE mainland company and branch of a foreign company to maintain accurate books of accounts that properly reflect its transactions and financial position. Free zone companies are governed by their respective free zone authority’s companies regulations, which impose materially similar record-keeping obligations.

In practice, every UAE business  mainland or free zone  needs properly maintained books.

The introduction of corporate tax under Federal Decree-Law No. 47 of 2022 added a further layer that applies universally. Every taxable person, regardless of jurisdiction, must now maintain financial records sufficient to prepare and support an accurate corporate tax return. Those records must be produced on request during an FTA audit.

The legal framework means several obligations overlap:

Mainland companies

Commercial Companies Law requires proper books and annual financial statements.

Free zone companies

Each free zone authority's regulations require equivalent record-keeping.

VAT Law

Maintain VAT records for a minimum of 5 years from the end of the relevant tax period.

Corporate Tax Law

Maintain financial records for a minimum of 7 years.

These obligations are built on IFRS as the default accounting standard  smaller businesses may qualify for IFRS for SMEs or cash-basis reporting depending on revenue thresholds. In practice, IFRS-aligned bookkeeping remains the safest foundation for every UAE business, regardless of size.

Failure to maintain adequate accounting records and supporting documentation, as required under the UAE Tax Procedures Law, carries an administrative penalty currently set at AED 10,000 for a first violation and AED 20,000 for repeated violations within 24 months. This applies regardless of whether your company is mainland or free zone.
