1. Scope of Services and Engagement

1.1 General Services

Unispire Group LLC - FZ offers facilitation and consultancy services tailored to your business needs. The nature, scope and timeline of services are confirmed through formal proposals, quotations, pro forma invoices or written agreements. These services may include dealings with third-party providers or government entities where applicable. We are an independent consultancy and not a government entity or an official government service.

1.2 Third-Party Payment Handling

We may process payments to government bodies, free zone and licensing authorities, banks or other third parties on your behalf as part of the service facilitation process. All such payments are made in accordance with the requirements of the service subscribed and do not imply our control over final decisions made by these third parties.

2. Our Rights and Responsibilities

2.1 Professional Conduct

We commit to providing services with reasonable care, diligence and professionalism in accordance with prevailing industry standards and UAE laws.

2.2 Limitation of Liability

We are not liable for any indirect, incidental or consequential loss that may arise during the course of service delivery, including loss of business, profit, revenue or reputation. Our liability is limited to the fees paid directly to us for the specific service and excludes matters outside our control, such as third-party decisions or government delays.

2.3 Information Accuracy

We aim to give Clients clear and up-to-date information at the time of signing, including procedural requirements and anticipated timelines. However, we do not control external regulatory changes that may affect these terms.

2.4 Third-Party Changes

Any changes in fees, policies or timelines by third-party providers or government authorities after the agreement is signed will be communicated to the Client promptly.

2.5 Exemption from Liability for Third-Party Changes

We are not liable for changes imposed by third-party providers or government authorities after the agreement is signed. These changes might include alterations to costs, timelines or specific service requirements that are beyond our control.

2.6 KYC Documents and Client Onboarding Process

As part of client onboarding, we require you to provide information, documents and materials ("KYC Documents") that we need to meet our anti-money-laundering and counter-terrorist-financing (AML/CFT) obligations. KYC Documents may include proof of identity (for example passport or national ID), proof of address (for example utility bill or bank statement), corporate registration documents, beneficial ownership information, source of funds or wealth declarations, and any other information we consider necessary to carry out due diligence.

We reserve the right to reject any client application, end an existing relationship or refuse to proceed with any transaction, at any stage, if:

  • the Client fails to provide the requested KYC Documents or information;
  • the KYC Documents or information provided are incomplete, inaccurate, false, misleading or fraudulent;
  • we are unable to complete our due diligence procedures satisfactorily;
  • the Client or any related party presents an unacceptable AML/CFT risk;
  • we suspect, or have reasonable grounds to suspect, that the Client's activities are related to money laundering, terrorist financing or any other illegal activity;
  • accepting the Client would, in our opinion, breach applicable AML/CFT laws, regulations or our internal policies; or
  • there is any other reason that, in our reasonable judgment, warrants rejection, consistent with a risk-based approach to AML/CFT compliance.

3. Client's Rights and Responsibilities
